  • Network or infrastructure failures

Service Modifications

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation of services.

User Obligations

Your responsibilities when using our services

Account Responsibility

You are responsible for:

  • Maintaining confidentiality of account credentials
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access
  • Providing accurate and current information
  • Updating account information as needed

Prohibited Activities

You agree not to:

Payment Terms

Billing and payment policies

Fees and Charges

Payment terms and conditions:

  • All prices are in USD unless otherwise stated

  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges

Payment Methods

We accept various payment methods including bank transfers, credit cards, and approved payment platforms. All transactions must be in cleared funds.

Refund Policy

Refunds are evaluated on a case-by-case basis:

  • Service-related issues must be reported within 30 days
  • Refunds for defective services at our discretion
  • No refunds for custom development work
  • Consulting services are non-refundable
  • Hardware returns subject to manufacturer policies

Suspension for Non-Payment

We may suspend or terminate services for non-payment after providing reasonable notice. You remain liable for all outstanding charges.

Client Data Ownership

You retain ownership of your data and content. By using our services, you grant us a license to use, store, and process your data as necessary to provide services.

Copyright Protection

All materials are protected by copyright and other intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

Confidentiality

Confidential Information

Both parties agree to protect confidential information including:

  • Business strategies and proprietary information
  • Technical data and specifications
  • Customer and vendor information
  • Financial information and pricing
  • Any information marked as confidential

Non-Disclosure Obligations

Confidential information must not be:

  • Disclosed to unauthorized third parties
  • Used for purposes beyond the service agreement
  • Reproduced without written consent
  • Retained after termination of services

Exceptions

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Warranties & Disclaimers

Service warranties and limitations

Service Warranties

We warrant that:

  • Services will be performed with professional care
  • We have the right to provide the services
  • Services will substantially conform to specifications
  • We will comply with applicable laws

Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Third-Party Products

Third-party products and services are provided subject to their manufacturer's or provider's warranties. We are not responsible for third-party warranties or support.

No Guarantee of Results

We do not guarantee specific results, outcomes, or performance metrics unless explicitly agreed in writing.

Limitation of Liability

Liability limits and exclusions

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

Exclusion of Consequential Damages

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Cost of substitute services
  • Reputation or goodwill damage

Exceptions

Limitations do not apply to liability for gross negligence, willful misconduct, fraud, or matters that cannot be limited by law.

Indemnification

Protection from third-party claims

Your Indemnification

You agree to indemnify, defend, and hold harmless GMQ Group from claims arising from:

  • Your breach of these terms
  • Your violation of laws or regulations
  • Your negligence or willful misconduct
  • Infringement of third-party rights
  • Your use or misuse of services
  • Your content or data

Our Indemnification

We will indemnify you against claims that our services infringe third-party intellectual property rights, provided you notify us promptly and cooperate in the defense.

Indemnification Process

The indemnified party must provide prompt notice, reasonable cooperation, and sole control of defense and settlement of indemnified claims.

Termination

Ending the service relationship

Termination for Convenience

Either party may terminate services:

  • With 30 days written notice
  • According to terms in service agreements
  • Upon completion of project-based services
  • By mutual written agreement

Termination for Cause

We may immediately terminate services if you:

  • Breach material terms of agreement
  • Fail to pay undisputed invoices
  • Engage in prohibited activities
  • Violate laws or regulations
  • Pose security or liability risks

Effects of Termination

Upon termination:

  • All outstanding fees become immediately due
  • Access to services will be discontinued
  • You must return or destroy our materials
  • We will return your data in agreed format
  • Confidentiality obligations survive
  • Provisions intended to survive will remain in effect

Dispute Resolution

Resolving disagreements

Negotiation

Parties agree to first attempt to resolve disputes through good faith negotiation. Senior management from both parties will meet to discuss resolution.

Mediation

If negotiation fails, parties will attempt mediation before pursuing other remedies. Mediation costs will be shared equally.

Arbitration

Disputes not resolved through mediation may be submitted to binding arbitration in accordance with applicable arbitration rules.

Governing Law

These terms are governed by the laws of the United Arab Emirates. Any legal proceedings shall be conducted in the courts of Dubai, UAE.

Injunctive Relief

Either party may seek injunctive relief for breaches involving intellectual property or confidentiality without waiting for dispute resolution processes.

General Provisions

Additional terms and conditions

Entire Agreement

These terms, together with referenced documents and agreements, constitute the entire agreement between parties and supersede all prior agreements or understandings.

Assignment

You may not assign or transfer your rights without our written consent. We may assign our rights and obligations without restriction.

Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or utility failures.

Severability

If any provision is found invalid or unenforceable, remaining provisions remain in full effect. Invalid provisions will be modified to achieve intended economic effect.

Waiver

Failure to enforce any provision does not constitute a waiver. Waivers must be in writing to be effective.

Notices

All notices must be in writing and delivered via email or registered mail to addresses specified in service agreements.

Independent Contractors

Parties are independent contractors. Nothing creates a partnership, joint venture, agency, or employment relationship.
